1. Acceptance of Terms
By accessing or using the services, software, or APIs provided by ThirdKey (“Service”), you agree to be bound by these Terms of Use (“Terms”), our Privacy Policy, and any additional agreements applicable to specific features. If you do not agree, do not use the Service.
These Terms constitute a binding agreement between you (“User”, “you”) and Tarnover, LLC (“Company”, “we”, “our”, “us”).
2. Description of Service
ThirdKey provides a secure API gateway for access, governance, auditing, and billing of large language models (LLMs) and generative AI services. The Service is offered as Software-as-a-Service (SaaS) and includes APIs, SDKs, CLI tools, and related documentation.
You may use ThirdKey to:
- Securely access supported LLMs
- Monitor and control usage
- Enforce policies and audit logs
- Manage cost and billing via our API
We reserve the right to enhance, modify, or discontinue any part of the Service at our discretion.
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use the Service. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that entity to these Terms.
4. User Accounts and API Keys
Access to our API requires registration and issuance of an API key. You are responsible for:
- Keeping your credentials and API keys secure
- All activity that occurs under your account
- Immediately notifying us of unauthorized use
We reserve the right to suspend or terminate access if we detect misuse or suspicious activity.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful, harmful, or abusive purpose
- Bypass or interfere with security features
- Reverse-engineer, decompile, or extract model behavior
- Attempt unauthorized access to systems, networks, or data
- Use the Service to build or replicate a competing service
Use of the Service must comply with applicable laws, including U.S. export laws and regulations.
6. Subscription and Payment Terms
ThirdKey is offered as a paid service. Usage-based billing and subscription tiers may apply. You agree to pay all applicable fees according to your selected plan.
- Prices and features are subject to change.
- Late payments may result in suspension or termination.
- Refund Policy: If you are dissatisfied with your purchase for any reason, you are entitled to only pay for the API calls you made on your account. If you paid for a tier account and wish to cancel we will refund all but the per-api call costs incurred.
- If you believe you have been billed in error, please contact us within 30 days of the billing date.
7. Ownership and Intellectual Property
All intellectual property rights in the Service, including the software, documentation, website, and content, are owned by Tarnover, LLC or its licensors.
You retain ownership of data submitted via the API but grant us the right to use it as needed to provide and improve the Service (subject to our Privacy Policy).
8. Confidentiality
You agree to treat all non-public information disclosed to you by Tarnover, LLC—including implementation details, usage metrics, and internal APIs—as confidential unless required by law or with our written permission.
9. Disclaimers
The Service is provided “as is” and “as available.” We make no warranties, express or implied, regarding:
- Performance or accuracy of model responses
- Availability or uptime
- Suitability for any particular purpose
Use of LLMs may produce unexpected or inaccurate outputs. You are responsible for evaluating all responses and using them at your own risk.
10. Limitation of Liability
To the maximum extent permitted by law, Tarnover, LLC is not liable for:
- Any indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Damages arising from your use of or inability to use the Service
Our total liability under these Terms shall not exceed the amount paid by you in the past 12 months.
11. Termination
We may terminate or suspend your access to the Service at any time for violation of these Terms or if continued use poses risk to us or others. Upon termination:
- Your right to use the Service ceases
- Your API keys will be disabled
- Any outstanding amounts become due immediately
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Any disputes shall be resolved in the courts of Los Angeles County, California, unless preempted by federal law.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified by email or on our website. Continued use of the Service after changes means you accept the updated Terms.
